Eligibility: The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least the age of majority in their state of residence at the time of entry and at least eighteen (18). Entrants must be registered members of the Site in order to submit their Video to the Contest. Entrants must be a full or part-time student in the calendar year 2011, and Contest finalists must allow Vidi Entertainment to verify 2011 enrollment in a university, college, film, or media arts school.
The onVidi.com Student Film Contest (“The Contest”), administered by Vidi Entertainment, Inc. (“Vidi Entertainment”) is a skill-contest where student filmmakers (“Entrants”) will submit an original, 3-minute or less film, video, or digital production (“Video”) to be screened and judged by panels of trained film and media industry individuals, experts, or professionals. Chance is entirely absent from the Contest’s processes and procedures. Beginning in the Fall of 2011, Entrants’ submitted Videos and corresponding profile may be selected for public posting on the public onVidi.com website.
Cash prizes: One (1) Grand Prize Winner $50,000 (Overall Best); Five (5) First Place Winners $10,000 (One winner in each category)

The following individuals are not eligible to participate in the Contest: employees of Vidi Entertainment, 45 Degrees North, Inc., Twin Technologies, Inc., and any of their respective parent, subsidiary and affiliate companies and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings and children and their respective spouses) and household members of each such employee, whether or not related. Any persons that are signatories to any guild or union agreements are also not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.
CONTEST INSTRUCTIONS (HOW TO ENTER)
VIDEO SUBMISSIONS RULES AND RESTRICTIONS
Entrants’ Videos must be three (3) minutes or less in length and may be produced as a “film,” “video,” or “digital production.” The Videos must be in a format accepted by the onVidi.com Student Contest Site at the time of entry. There is no limit to the number of Videos each Entrant may submit, but each Entrant may win only one (1) cash prize.
Entrants may only submit Videos to the Site that are (a) owned by the Entrant, (b) submitted with the express permission of the owner or within the scope of the license to such content, or (c) in the public domain.
Entrants are prohibited from submitting or transmitting to or from this Site any unlawful, threatening, harassing, libelous, offensive, defamatory, obscene, or pornographic materials, or other materials that would violate any law or the rights of others, including, without limitation, laws against copyright infringement, and rights of privacy and publicity. Violation of these rules and restrictions may result in denial of acceptance into the Student Contest.
SCREENING & JUDGING PROCESS
Potential winners will be determined according to the process set forth below:
During this phase, trained Vidi Entertainment screening staff will confirm that each submitted Video has been properly placed in the correct category (comedy, action, drama & romance, music video, or documentary). Some Videos may qualify for multiple categories. A panel of film and media arts industry professionals as well as trained Vidi Entertainment screening staff will then rate all submitted Videos. The judges’ criteria are based on five disciplines of film and video production: cinematography, editing, direction, audio/sound and creativity. Final ratings will be based on a 5-star, 5-criteria system where each submission can receive up to an overall high score of 25. In the case of a tie, the entrant whose submission received the highest number of points in the creativity category will be deemed the winner of the tie. Videos receiving the highest overall score will be identified and stored for final judging. The top 20 Videos in each category will be selected for the final round of judging.
Final Judging Phase
A panel of 5 film and media arts industry professionals will serve as the judges who will rate the top 20 Videos in each category. These judges will determine the final winners of the Contest. All ties will be broken by majority vote from the panel.
In the event an entrant is declared the winner for more than one contest prize, said entrant will be awarded the prize with the highest value and all other prizes will be forfeited. The judges will then select alternate winners for any and all forfeited prizes.
All decisions of the judges are final.
Winner identification, notification, and payment procedures are outlined below.
CONTEST PRIZE AWARDS, TERMS, AND REQUIREMENTS
EACH ENTRANT MAY WIN ONLY ONE (1) CASH PRIZE.
ONE (1) GRAND PRIZE WINNER: $50,000 awarded to Best Overall Submission.
FIVE (5) FIRST PLACE WINNERS IN EACH CATEGORY: $10,000 awarded to the Winner in Each of the 5 Submission Categories (Comedy, Action, Drama & Romance, Music Video, or Documentary).
All prizes will be paid in U.S. dollars and are non-transferable. Vidi Entertainment will notify grand prize and category winners (“Winners”) immediately upon selection by the judging panel. Within thirty (30) days, Vidi Entertainment will require acknowledgment of award notification and a valid U.S. address from Winners in order to pay the prize. Within approximately thirty (30) days of receipt of acknowledgment and receipt of a valid U.S. address, Vidi Entertainment will send each Winner his or her check through registered, certified U.S. mail.
Student Status and Identity of Entrant
To be eligible to receive prize awards, Entrants selected as top 20 finalists will be required to allow Vidi Entertainment to verify their student status.
In the event of a dispute about the identity of the Entrant, entries made online will be declared to have been made by the authorized account holder of the e-mail address submitted at time of entry. An authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential winner may be required to provide Sponsor with proof that the potential winner is theauthorized account holder of the e-mail address associated with the winning entry.
All Federal, State, and Local Taxes associated with the receipt or use of any prizes are the sole responsibility of the winners.
CONTEST WINNERS LIST
The names of the Entrants whose Videos are in top-20 in each category as well as the names of the Entrants who are chosen as overall winners of the Contest will be posted on the Site for at least 60 days after the completion of the final phase of the Contest.
USER CONTENT LICENSE TO VIDI ENTERTAINMENT
The Contest offered through this Site requires submission of User Content. By submitting User Content to this Site, Entrant grants Vidi Entertainment one of the following types of licenses:
1. For User Content that is the result of the Entrant’s creative efforts and which is intended to be submitted to the Contest, the Entrant grants Vidi Entertainment a worldwide, royalty-free, non-exclusive license to modify (for purposes of formatting, maintenance, or Site administration only) and reproduce such User Content. The Entrant also grants Vidi Entertainment the right to publicly display, perform, and use for promotional purposes such User Content as part of the Contest as well as on the public Site when it launches. This license will be in effect until such User Content is removed from the Site.
2. For User Content such as the Entrant’s Profile Name, School or University, Profile Image, Profile “About Me” Information, and comments to Vidi Entertainment on user forms, reports or suggestion forms, the Entrant grants Vidi Entertainment and the users of this Site an unrestricted, worldwide, irrevocable license to use, reproduce, display, perform, modify, transmit, and distribute such User Content, and Entrant also agrees that Vidi Entertainment is free to use any ideas, concepts, know-how, or techniques
that Entrant sends Vidi Entertainment for any purpose without any compensation to Entrant. However, Vidi Entertainment will not release other personal information or otherwise publicize the fact that Entrant submitted such User Content unless: (a) Entrant grants Vidi Entertainment permission to do so; (b) Vidi Entertainment first notifies Entrant that the User Content submitted to a particular part of the Site will be published or otherwise used with Entrant’s name on it; (c) Vidi Entertainment has a good faith belief that Vidi Entertainment is required to do so by law and/or in response to a subpoena or court order; or (d) Vidi Entertainment believes it necessary in order to protect the rights of Vidi Entertainment or others.
In using the Site, including all Services and Materials available through it, Entrant agrees: not to disrupt or interfere with any other user’s enjoyment of the Site or affiliated or linked sites; not to upload, post, or otherwise transmit through the Site any viruses or other harmful, disruptive, or destructive files; not to create a false identity; not to use or attempt to use another’s account, password, service, or system without authorization from Vidi Entertainment; not to access or attempt to access any User Content which Entrant is not authorized to access; not to disrupt or interfere with the security of, or otherwise cause harm to, the Site, or any Services, Materials, system resources, accounts, passwords, servers, or networks connected to or accessible through the Site or any affiliated or linked sites.
MANAGING CONTENT AND COMMUNICATIONS
Vidi Entertainment reserves the right, in its sole discretion, to delete or remove User Content from the Site and to restrict, suspend, or terminate Entrant’s access to all or part of this Site, at any time without prior notice or liability. Vidi Entertainment may, but is not obligated to, monitor or review any areas on the Site where users transmit or post User Content, including but not limited to areas where Services are available, and the substance of any User Content. To the maximum extent permitted by law, Vidi Entertainment will have no liability related to User Content. Vidi Entertainment disclaims all liability with respect to the misuse, loss, modification, or unavailability of any User Content.
WARRANTIES AND DISCLAIMERS
Except as expressly provided otherwise in a written agreement between Entrant and Vidi Entertainment or Entrant and a third party with respect to such party’s materials or services, this Contest and the Site in which it is promoted as well as all Materials and Services accessible through this Site are provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose, or the warranty of non-infringement.
Without limiting the foregoing, Vidi Entertainment makes no warranty that:
(i) the Contest, Site, Services and Materials will meet Entrant’s requirements;
(ii) the Contest, Site, Services and Materials will be uninterrupted, timely, secure, or error-free;
(iii) the results that may be obtained from the use of the Contest, Site, Services or Materials will be effective, accurate, or reliable;
(iv) the quality of the Contest, Site, and any Products, Services, or Materials obtained or accessible by Entrant through the Site, will meet Entrant’s expectations; and,
(v) any errors in the Contest, Services or Materials obtained through the Site, or any defects in the Site, its Services or Materials, will be corrected.
This Site could include technical or other mistakes, inaccuracies, or typographical errors. Vidi Entertainment reserves the right to make changes to the Contest, Materials and Services at this Site at any time without notice. The Contest, Materials or Services at this Site may be out of date, and Vidi Entertainment makes no commitment to update such Materials or Services.
Entrant understands and acknowledges that:
(i) Vidi Entertainment does not control, endorse, or accept responsibility for any content, products, or services offered by third
parties through the Site, including, without limitation, third party vendors and third parties accessible through links on the Site;
(ii) Vidi Entertainment makes no representation or warranties whatsoever about any such third parties, their content, products, or services;
(iii) any dealings Entrant may have with such third parties are at Entrant’s own risk; and,
(iv) Vidi Entertainment shall not be liable or responsible for any content, products, or services offered by third parties.
PERSONAL INFORMATION AND PRIVACY
Except as otherwise expressly set forth herein, Entrant’s personal information will be deemed to be confidential. Any non-personal information or material sent to Vidi Entertainment including but not limited to Entrant’s Profile Name, School or University, Profile Image, “About Me” Information, and Video, will generally be deemed to NOT be confidential. In any case, Entrant understands and agrees that Vidi Entertainment may disclose information about Entrant if Vidi Entertainment has a good faith belief that Vidi Entertainment is required to do so by law or legal process, to respond to claims, or to protect the rights, property, or safety of Vidi Entertainment or others.
LIMITATION OF LIABILITY
In no event, including, without limitation, negligence, shall Vidi Entertainment its subsidiaries, affiliates, agents, officers, directors, employees, partners, or suppliers be liable to Entrant or any third party for any special, punitive, incidental, indirect, or consequential damages of any kind, or any damages whatsoever, including, without limitation, those resulting from loss of use, data, or profits, whether or not Vidi Entertainment has been advised of the possibility of such damages, and on any theory of liability, arising out of or in connection with the use of or the inability to use this Site, its Services, or Materials, the statementsor actions of any third party on or through the Site, any dealings with vendors or other third parties, any unauthorized access to or alteration of Entrant’s transmissions or data, any information that is sent or received or not sent or received, any failure to store or loss of data, files, or other content, any Services available through the Site that are delayed or interrupted, or any website referenced or linked to or from this Site.
INDEMNITY AND LIABILITY
GOVERNING LAW AND JURISDICTION
This Site (excluding linked sites) is controlled by Vidi Entertainment from its offices within the state of Montana, United States of America. By entering this Contest, submitting User Content, and accessing this Site, Entrant and Vidi Entertainment agree that all matters relating to the Contest and Entrant’s access to, or use of, this Site shall be governed by the statutes and laws of the State of Montana, without regard to the conflicts of laws principles thereof. Entrant and Vidi Entertainment also agree and hereby
submit to the exclusive personal jurisdiction and venue of the Courts within the State of Montana with respect to such matters.
